Welcome to Music City Drum Show. These Terms & Conditions (“Terms”) govern your access to and use of www.musiccitydrumshow.com (the “Website”), as well as your purchase of tickets, exhibitor booths, merchandise, and other products or services offered by Music City Drum Show (“Music City Drum Show,” “we,” “us,” or “our”).
By accessing or using the Website, purchasing a ticket, reserving an exhibitor booth, purchasing merchandise, registering for an event, or otherwise participating in an event or activity operated by Music City Drum Show, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
If you do not agree to these Terms, please do not use the Website or purchase tickets, booths, merchandise, or other products or services from Music City Drum Show.
1. GENERAL
Music City Drum Show reserves the right to modify, update, suspend, or discontinue the Website or any portion of the Website at any time, with or without notice.
We may also modify these Terms from time to time. Updated Terms will be posted on the Website with a revised “Last Updated” date. Your continued use of the Website or purchase or use of our products, tickets, booths, or services after changes are posted constitutes your acceptance of the revised Terms.
You are responsible for reviewing the Terms periodically.
Music City Drum Show reserves the right to refuse service, cancel orders, deny admission, remove individuals from an event, or restrict access to the Website or an event when reasonably necessary to protect the safety, security, property, staff, exhibitors, attendees, or other participants of Music City Drum Show.
2. WEBSITE USE
You agree to use the Website only for lawful purposes and in accordance with these Terms.
You may not:
Use the Website for any unlawful, fraudulent, or unauthorized purpose;
Attempt to gain unauthorized access to the Website or its systems;
Interfere with or disrupt the operation or security of the Website;
Use automated systems, bots, crawlers, scraping tools, or similar technology to collect information from the Website without our prior written permission;
Impersonate Music City Drum Show or another person or organization;
Upload or transmit malicious software, viruses, or other harmful material;
Use the Website to distribute spam, unsolicited advertising, or other unauthorized communications; or
Engage in conduct that could damage, disable, overburden, or impair the Website.
Music City Drum Show reserves the right to suspend or terminate access to the Website for violations of these Terms or for any other lawful reason.
3. TICKETS AND EVENT ADMISSION
Tickets purchased through Music City Drum Show are valid only for the event, date, admission type, and access level specified at the time of purchase.
Ticket Receipt / Proof of Purchase
For all ticket purchases, your email receipt is your ticket and serves as your proof of purchase. Please present your email receipt at the door for entry.
You do not need to download or print a separate ticket or ticket file. Simply show your email receipt at the front entrance registration table, where Music City Drum Show staff will verify your purchase and check your name off the registration list.
Music City Drum Show may require a valid government-issued photo ID to verify that the name on the identification matches the name associated with the ticket purchase and/or to verify the applicable order number.
Tickets may not be duplicated, altered, fraudulently reproduced, or used for unauthorized purposes.
Music City Drum Show reserves the right to deny admission where there is a reasonable concern regarding fraud, duplication, unauthorized resale, or other misuse of a ticket.
Final Sales / Lineup Changes
All ticket sales are final and non-refundable, including in the event of lineup changes.
By purchasing a ticket, you acknowledge and agree to the event lineup as advertised by Music City Drum Show at the time of purchase. Music City Drum Show reserves the right to add, remove, substitute, or change artists, clinicians, performers, exhibitors, guests, speakers, or other participants without notice.
No refunds will be issued due to the addition, removal, substitution, cancellation, or other change involving any artist, clinician, performer, exhibitor, guest, speaker, or other participant.
Please carefully review your order, including the event date, ticket type, quantity, and other purchase information, before completing your transaction.
Unless otherwise required by applicable law, Music City Drum Show is not responsible for travel expenses, hotel accommodations, transportation costs, parking expenses, meals, or other incidental expenses incurred by an attendee in connection with an event or any change to the event.
Lost or Stolen Credentials
Music City Drum Show and its owners, agents, employees, representatives, and event personnel are not responsible for lost, stolen, damaged, misplaced, or otherwise unusable badges, credentials, passes, tickets, merchandise, or other items issued or purchased in connection with the event, except to the extent liability cannot lawfully be excluded.
Admission may be subject to venue rules, security procedures, capacity limitations, and applicable laws.
Music City Drum Show reserves the right to refuse admission or remove an attendee from the event, without refund where permitted by law, for disruptive, threatening, abusive, unsafe, illegal, or inappropriate behavior or for violation of these Terms or applicable venue rules.
4. TICKET AND BOOTH REFUNDS / CANCELLATIONS
Unless otherwise expressly stated in writing by Music City Drum Show or required by applicable law, all ticket and exhibitor booth sales are final and non-refundable.
Please carefully review your order before completing your purchase, including the event date, ticket type, quantity, booth selection, and any other applicable purchase information.
Ticket refunds will not be issued because of lineup changes, including the addition, removal, cancellation, substitution, or scheduling change of any artist, clinician, performer, exhibitor, guest, speaker, or other participant.
Exhibitor booth fees are non-refundable unless Music City Drum Show expressly agrees otherwise in writing or a refund is required by applicable law.
If an event is canceled, postponed, rescheduled, relocated, or materially changed, Music City Drum Show will determine what options, if any, are available to affected ticket purchasers or exhibitors, subject to applicable law and any event-specific policies communicated by Music City Drum Show.
Unless otherwise required by applicable law, Music City Drum Show is not responsible for travel expenses, hotel accommodations, transportation costs, parking expenses, meals, lost wages, or any other incidental or consequential expenses incurred in connection with an event or any cancellation, postponement, rescheduling, relocation, or change to an event.
Nothing in these Terms is intended to waive or limit any refund or other consumer right that cannot lawfully be waived or limited under applicable law.
5. EVENT CHANGES
Music City Drum Show reserves the right to make changes to an event, including but not limited to:
Event dates or times;
Event location;
Exhibitor lineup;
Clinicians, speakers, performers, or guests;
Event schedule;
Booth locations;
Event activities;
Floor plans;
Admission procedures; and
Other event details.
We will make reasonable efforts to communicate significant changes when appropriate; however, event information may change without prior notice.
The appearance of any particular exhibitor, clinician, performer, guest, or brand is not guaranteed unless expressly stated otherwise.
6. EXHIBITOR BOOTHS
Exhibitor booth purchases are subject to these Terms, the exhibitor information provided by Music City Drum Show, and any applicable rules established by the event venue.
Unless otherwise stated in writing:
Exhibitor booth sales are final and non-refundable.
Booth reservations are for the specific event and booth configuration purchased. Music City Drum Show reserves the right to assign, modify, relocate, or adjust booth locations when reasonably necessary for event operations, safety, venue requirements, fire-code compliance, event layout, or other legitimate business reasons.
Exhibitors are responsible for complying with all applicable federal, state, and local laws, regulations, permits, licenses, and tax requirements relating to their business and sales at the event.
Exhibitors are responsible for collecting and remitting any applicable sales or other taxes unless otherwise required by law or expressly agreed to in writing.
Exhibitors must comply with all reasonable instructions provided by Music City Drum Show and the event venue.
Music City Drum Show reserves the right to refuse or terminate an exhibitor's participation if the exhibitor violates these Terms, venue rules, applicable law, or creates a safety, security, or operational concern.
No exhibitor may sublease, transfer, assign, or share its booth with another business or organization without prior written approval from Music City Drum Show.
7. EXHIBITOR PROPERTY, LIABILITY, AND INDEMNIFICATION
Each Exhibitor is solely responsible for its merchandise, equipment, instruments, displays, inventory, cash, personal property, and other belongings brought onto or used in connection with the event.
To the maximum extent permitted by applicable law, Music City Drum Show, its owners, members, officers, officials, agents, employees, representatives, contractors, and event personnel shall not be liable for any damage to an Exhibitor, or to any person claiming through or on behalf of an Exhibitor, for injury to person or damage to, loss of, or theft of property, wherever located, arising from any cause.
This provision includes, but is not limited to, claims arising from the condition of the event building or any part thereof, including any alleged defect, failure, malfunction, or condition involving equipment, furnishings, fixtures, apparatus, utilities, or other property located within or serving the event premises, except to the extent liability cannot lawfully be excluded.
Each Exhibitor agrees to indemnify, defend, and hold harmless Music City Drum Show, its owners, members, officers, officials, agents, employees, representatives, contractors, and event personnel from and against any and all claims, demands, causes of action, suits, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
Any injury to or death of any person caused by or arising from the Exhibitor's participation in the event;
Any damage to or loss of property caused by or arising from the Exhibitor's participation in the event;
The Exhibitor's booth, display, equipment, merchandise, employees, representatives, contractors, agents, or guests;
The Exhibitor's acts, omissions, negligence, or misconduct;
Any violation by the Exhibitor of applicable federal, state, or local laws, regulations, ordinances, or venue rules; or
Any claim made by an employee, contractor, representative, customer, guest, or other person arising from or relating to the Exhibitor's participation in the event.
This indemnification obligation includes, without limitation, claims involving loss of or damage to property, goods, wares, merchandise, equipment, instruments, displays, or other items owned, leased, rented, displayed, sold, or otherwise brought to the event by or on behalf of the Exhibitor.
Nothing in these Terms is intended to require an Exhibitor to indemnify Music City Drum Show for claims to the extent such indemnification is prohibited by applicable law.
Exhibitor Insurance
Each Exhibitor is responsible for obtaining and maintaining appropriate insurance coverage for its property, employees, representatives, contractors, inventory, equipment, and business activities.
Music City Drum Show does not insure Exhibitor property and does not guarantee the security of any Exhibitor's merchandise, equipment, instruments, displays, or other belongings.
Exhibitors are encouraged to maintain appropriate commercial general liability, property, and other insurance coverage suitable for their participation in the event.
No Guarantee of Sales or Business Results
Music City Drum Show does not guarantee attendance levels, sales, leads, revenue, exposure, customer traffic, or any particular business result from an Exhibitor's participation in the event.
Participation as an Exhibitor is not a guarantee of any particular financial or commercial outcome.
8. MERCHANDISE AND PRODUCT PURCHASES
Product descriptions, photographs, pricing, availability, and other information displayed on the Website are subject to change without notice.
We reserve the right to correct pricing, typographical, inventory, or other errors and to cancel or adjust an order affected by such an error.
Merchandise availability is not guaranteed until an order has been accepted and processed.
Unless a specific product page or written policy states otherwise, merchandise purchases are subject to the refund, return, exchange, and shipping policies applicable to that product.
9. PAYMENT AND ORDER INFORMATION
When placing an order, you agree to provide accurate, current, and complete billing, payment, shipping, contact, and other information requested during checkout.
You authorize Music City Drum Show and its payment-processing providers to process the payment method supplied for your purchase.
Music City Drum Show is not responsible for errors resulting from inaccurate information provided by the purchaser.
We reserve the right to refuse or cancel an order if we reasonably suspect fraud, unauthorized activity, pricing errors, duplicate orders, or other misuse of the Website.
10. INTELLECTUAL PROPERTY
All content appearing on the Website, including but not limited to text, photographs, graphics, logos, trademarks, service marks, videos, artwork, event names, designs, layouts, and other materials (collectively, “Content”), is owned by Music City Drum Show or its licensors and is protected by applicable intellectual property laws.
Music City Drum Show grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Website and its Content for your personal, non-commercial purposes.
You may not reproduce, modify, distribute, publish, display, transmit, sell, license, create derivative works from, or otherwise exploit Website Content without prior written permission from Music City Drum Show, except as expressly permitted by applicable law.
The names, logos, trademarks, and service marks associated with Music City Drum Show may not be used without prior written permission.
11. USER-SUBMITTED CONTENT
If you submit photographs, videos, comments, testimonials, reviews, suggestions, or other materials to Music City Drum Show through the Website, email, social media, contests, promotions, or other means (“User Content”), you represent that you have the right to provide that material.
By submitting User Content to Music City Drum Show, you grant Music City Drum Show a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, edit, publish, display, distribute, and otherwise use the User Content for promotional, marketing, advertising, editorial, social media, Website, and other legitimate business purposes.
You understand that Music City Drum Show is not obligated to use any User Content.
You are responsible for ensuring that your User Content does not violate the rights of any other person or entity, including copyrights, trademarks, privacy rights, publicity rights, or other legal rights.
12. PHOTOGRAPHY, VIDEO, AND RECORDING AT EVENTS
By attending a Music City Drum Show event, you acknowledge that photography, video recording, audio recording, livestreaming, and other forms of media capture may occur throughout the event.
By entering the event premises, you grant Music City Drum Show and its authorized representatives permission to photograph, film, record, and otherwise capture your image, likeness, voice, or participation in connection with the event.
You understand that such recordings may be used, without additional compensation, for promotional, advertising, marketing, social media, editorial, archival, Website, or other legitimate business purposes.
If you do not wish to be intentionally featured in promotional materials, please notify Music City Drum Show staff. While we will make reasonable efforts to honor such requests, we cannot guarantee that an individual will not appear incidentally in photographs, videos, livestreams, or recordings of a public event.
13. EVENT CONDUCT AND SAFETY
All attendees, exhibitors, guests, vendors, staff, contractors, and other participants are expected to conduct themselves in a respectful, lawful, and safe manner.
Prohibited conduct includes, but is not limited to:
Threatening, abusive, harassing, or violent behavior;
Fighting or physical altercations;
Discrimination or harassment;
Theft or vandalism;
Intentionally damaging property;
Possession of prohibited items or substances;
Disrupting event operations;
Refusing to follow reasonable instructions from Music City Drum Show or venue personnel;
Entering restricted or unauthorized areas; and
Any conduct that creates a safety or security concern.
Music City Drum Show reserves the right to remove an individual from an event without refund when permitted by law.
All attendees and exhibitors must comply with the rules and policies of the event venue.
14. CHILDREN AND MINORS
Music City Drum Show events may be open to attendees of various ages. Parents, guardians, and accompanying adults are responsible for supervising minors in their care at all times.
Music City Drum Show is not responsible for supervising children or minors.
15. SERVICE ANIMALS AND PETS
Animals are subject to the rules and policies of the event venue and applicable law.
Only legally permitted service animals may be admitted where required by applicable law. Pets and other animals may be prohibited.
16. ASSUMPTION OF RISK
Attendance at a live event may involve inherent risks, including but not limited to crowds, loud music or amplified sound, musical instruments and equipment, moving equipment, uneven surfaces, temporary structures, booths, cables, demonstrations, and other activities associated with a trade show or live event.
By attending or participating in a Music City Drum Show event, you voluntarily assume the ordinary and inherent risks associated with attending such an event, to the extent permitted by applicable law.
You are responsible for exercising reasonable care for your own safety and the safety of those accompanying you.
17. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MUSIC CITY DRUM SHOW LLC, ITS OWNERS, OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, REPRESENTATIVES, AFFILIATES, SPONSORS, AND EVENT PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE, ATTENDANCE AT AN EVENT, PURCHASE OF TICKETS OR PRODUCTS, EXHIBITOR PARTICIPATION, OR PARTICIPATION IN ANY MUSIC CITY DRUM SHOW ACTIVITY.
THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, CLAIMS RELATING TO LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST DATA, TRAVEL EXPENSES, HOTEL EXPENSES, OR OTHER INCIDENTAL OR CONSEQUENTIAL LOSSES.
NOTHING IN THESE TERMS IS INTENDED TO EXCLUDE OR LIMIT LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
18. THIRD-PARTY BUSINESSES AND LINKS
The Website and Music City Drum Show events may contain links to or references to third-party businesses, websites, products, services, hotels, sponsors, exhibitors, payment processors, social media platforms, or other third parties.
Music City Drum Show does not control and is not responsible for the content, policies, products, services, security, or practices of third parties.
A link, listing, sponsorship, exhibitor relationship, or other reference does not necessarily constitute an endorsement or guarantee by Music City Drum Show.
Your dealings with third parties are solely between you and the applicable third party.
19. PRIVACY
Your use of the Website and submission of personal information is also subject to our Privacy Policy.
Please review the Privacy Policy for information regarding how Music City Drum Show collects, uses, stores, and protects personal information.
20. INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Music City Drum Show and its owners, officers, members, employees, contractors, agents, representatives, affiliates, sponsors, and event partners from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
Your violation of these Terms;
Your violation of applicable law;
Your misuse of the Website;
Your User Content;
Your conduct at a Music City Drum Show event;
Damage caused by you to property or another person; or
Your violation of the rights of another person or entity.
21. DISCLAIMER OF WARRANTIES
THE WEBSITE, ITS CONTENT, AND INFORMATION PROVIDED THROUGH THE WEBSITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.
MUSIC CITY DRUM SHOW DOES NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, ERROR-FREE, SECURE, COMPLETE, ACCURATE, OR CURRENT.
WE DO NOT WARRANT THAT THE WEBSITE OR ITS CONTENT WILL MEET YOUR PARTICULAR REQUIREMENTS OR EXPECTATIONS.
22. FORCE MAJEURE
Music City Drum Show shall not be responsible for delays, cancellations, interruptions, changes, or failures to perform resulting from circumstances beyond our reasonable control, including but not limited to severe weather, natural disasters, fire, flood, epidemic or pandemic, governmental orders, acts of terrorism, civil unrest, labor disputes, utility failures, venue closures, transportation disruptions, emergencies, or other events beyond our reasonable control.
In such circumstances, Music City Drum Show will determine, in its reasonable discretion, whether an event may be postponed, rescheduled, relocated, modified, or canceled, subject to applicable law.
23. GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the laws of the State of Tennessee, without regard to conflict-of-law principles.
To the extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Terms, the Website, or a Music City Drum Show event shall be brought in the state or federal courts located in or serving Davidson County, Tennessee, unless applicable law requires otherwise.
24. SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
25. NO WAIVER
The failure of Music City Drum Show to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision or any other provision in the future.
26. ENTIRE AGREEMENT
These Terms, together with any applicable policies, rules, purchase terms, exhibitor agreements, refund policies, privacy policies, or other terms expressly incorporated by reference, constitute the entire agreement between you and Music City Drum Show regarding your use of the Website and participation in applicable Music City Drum Show activities.
These Terms supersede prior or contemporaneous communications concerning the same subject matter, except where a separate written agreement expressly states otherwise.
